Banking & Trust Services (BTS) is the business enterprise within Schwab overseeing Charles Schwab Bank and the Charles Schwab trust companies. The BTS organization offers deposit, loan and trust products to Schwab clients who are looking for holistic wealth management solutions that complement their brokerage activities. The integrated banking and brokerage services represent the strong value proposition we offer our clients.

Our Opportunity:

The Managing Director of Banking and Trust Services Third Party Management is responsible for development, execution, and oversight of the Bank’s Third Party management program. This includes managing all third party relationships, including external vendor and inter-affiliate (23B) relationships for Banking and Trust Services (BTS) to monitor and ensure that contractual commitments are fulfilled, and to appropriately assess risks and service issues. In keeping with regulatory guidance, the Managing Director oversees the five stages of the Risk Management Life Cycle which includes planning, due diligence, contract negotiations, ongoing oversight and contract termination. Charles Schwab Banking and Trust Services follows the three lines of defense model of risk governance. The Managing Director is a first line of defense position for Charles Schwab Banking and Trust Services and assures compliance with all Bank policies and procedures, as well as all applicable state and federal banking regulations in the context of their responsibilities.

What you’ll do:

  • Lead the development and implementation of the Banking and Trust Services (BTS) Third Party Management Program. Provide risk based, executive level program reporting

  • Analyze and execute the OCC third party risk management guidance to ensure complete third party life cycle risk management. Confirm that third party program document and subsequent procedures are updated regularly and accurately reflect current processes. Attend industry meetings to ensure that program maps to industry best practices

  • Manage third party relationships through all stages of the risk life cycle including planning, due diligence, contract negotiation, oversight, and termination. Risk assess all third parties at an activity level, and align with Bank’s Enterprise Risk Management Framework Develop methodology to risk rate both inherent and residual risk of third party activities

  • On a regular basis, review process workflow and optimize process for maximum internal customer experience and efficiency

  • Ensure all Banking and Trust Services (BTS) third parties including 23b affiliate contract negotiations are completed and meet both corporate guidelines and BTS deadlines. Work with business partners to include contract information relevant to regulatory guidance and solid risk management practices Align the BTS’s third party roadmap with BTS’s strategic plan and technology roadmap

  • As part of SLA oversight and monitoring, build relationships with key business partners and vendor partners.

  • Develop and implement ad-hoc compliance oversight programs to address specific risks, such as mortgage lending compliance, HMDA LAR filing, and OCC Flood regulations

  • Produce robust governance and oversight reporting consistent with risk taxonomy, executive and program requirements

  • Manage all third party work for the BTS according to the Schwab Bank Third Party Management Policy, program plan, and procedures

  • Work with the BTS business owners to source new third parties. Facilitate contractual discussions working closely with the Business, Legal and Compliance groups

  • Ensure that a Non Disclosure Agreement is in place before in-depth business meetings with potential third parties

  • Oversee the Risk Assessment and the due diligence process for new third parties

  • Coordinate with the appropriate groups for Requests for Information (RFI), Requests for Quotes (RFQ) or Requests for Proposals (RFP)

  • Work on new contract proposals, contract renewals, amendments and work orders in a timely manner

  • Partner with various departments such as legal, product management, compliance and CS&Co’s Vendor Management to successfully negotiate contracts and to facilitate ongoing monitoring

  • Build strong working relationships with the inter-affiliate service providers as well as the external third party account management teams

  • Ensure all due diligence is met for BTS’s third party portfolio

  • Monitor stability and performance for all BTS third parties. Identify risks and trends, and report results to Bank governance committees.

  • Oversee invoicing process to ensure vendor payments map to contract terms

  • Participate in meetings with the Bank Management team for escalated third party issues

  • Provide regulatory, audit, and control oversight for the Bank’s third party program

  • Meet with Bank regulators as part of Bank examination process. Create reporting and presentations and provide regular quarterly updates to regulators. Respond to regulatory requests for information.

  • Partner with 1 st line of defense risk management team to ensure RCSAs effectively measures and controls third party risks.

  • Work with Internal Audit for scheduled audits that involve the third party program

  • Supervise managers and staff in program management environment

  • Hire, train, coach, and provide annual written performance feedback to staff

  • Hold regularly scheduled staff meetings on a bi-weekly basis

  • Oversee annual employee engagement evaluations, reviews, and action plans

  • Ensure staff compliance with Bank policies and procedures, state and federal regulations

  • Hold regular all-team meetings to ensure strategy, vision, and goals are communicated to all team members.

What you have:

  • 10+ years of third party management and/or project management experience

  • 5+ years experience working in a Banking or Trust company environment. Experience with Banking regulators a plus

  • 5+ years of leading and developing a team of employees

  • Must be able to build strong relationships throughout the organization

  • Excellent interpersonal, verbal and written communication skills. Strong Power Point reporting skills required

  • Ability to prioritize and manage multiple projects

  • Ability to succeed in a fast pace heavy workload environment

  • Ability to work independently

  • Proven record of tracking and measuring results

  • Demonstrated ability to lead, coach, and develop team members in a geographically diverse environment.

  • Knowledge of bank systems and financial regulations

  • Bachelor’s degree required; Advanced degree preferred
